Terms of Use

These Terms of Use ("Terms") govern your access to and use of the ChekPal mobile application and related services (collectively, the "Service") provided by Skillazo Inc. ("ChekPal", "we", "us", or "our"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

IMPORTANT: THESE TERMS CONTAIN A MANDATORY ARBITRATION PROVISION AND CLASS ACTION WAIVER IN SECTION 15 THAT REQUIRES THE USE OF ARBITRATION ON AN INDIVIDUAL BASIS TO RESOLVE DISPUTES, RATHER THAN JURY TRIALS OR CLASS ACTIONS.

1. Acceptance of Terms

By creating an account, accessing, or using the Service, you represent that: (a) you are at least 13 years of age; (b) you have the legal capacity to enter into these Terms; (c) if you are using the Service on behalf of an organization, you have authority to bind that organization to these Terms; and (d) you will comply with these Terms and all applicable laws and regulations.

2. Description of Service

ChekPal is a safety check-in application that allows users to create scheduled check-ins and automatically notify designated emergency contacts if check-ins are missed. The Service includes features such as customizable check-in schedules, multi-channel notifications (SMS, email, push notifications, WhatsApp), reminder alerts, and streak tracking. The Service is provided "as is" and we reserve the right to modify, suspend, or discontinue any aspect of the Service at any time.

3. User Accounts

3.1 Account Creation

To use the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to immediately notify us of any unauthorized use of your account.

3.2 Account Security

You are solely responsible for safeguarding your password and for any activities or actions under your account. We recommend using a strong, unique password. You may not share your account credentials with others or allow others to access your account. We are not liable for any loss or damage arising from your failure to comply with this security obligation.

3.3 Account Termination

You may terminate your account at any time through the App settings. We may suspend or terminate your account if you violate these Terms, engage in fraudulent or abusive behavior, or for any other reason at our sole discretion. Upon termination, your right to use the Service will immediately cease, and we may delete your account and associated data in accordance with our Privacy Policy.

4. Acceptable Use

You agree not to:

  • Use the Service for any unlawful purpose or in violation of any local, state, national, or international law
  • Harass, abuse, threaten, or intimidate other users or their emergency contacts
  • Send unsolicited or fraudulent alerts to emergency contacts
  • Add emergency contacts without their knowledge or consent
  • Use the Service to spam, phish, or conduct any form of malicious activity
  • Attempt to gain unauthorized access to the Service, other accounts, or computer systems
  • Reverse engineer, decompile, or disassemble any aspect of the Service
  • Use automated systems (bots, scrapers) to access the Service without authorization
  • Interfere with or disrupt the Service or servers or networks connected to the Service
  • Violate any applicable laws regarding data privacy or export controls

5. Emergency Contacts and Alerts

5.1 Contact Consent

You represent and warrant that you have obtained consent from each individual you designate as an emergency contact to receive alerts on their behalf. You are solely responsible for ensuring you have proper authorization to send notifications to emergency contacts. ChekPal is not responsible for any disputes arising from unauthorized use of contact information.

5.2 Alert Delivery

We will make commercially reasonable efforts to deliver alerts to your emergency contacts when you miss a check-in. However, we do not guarantee delivery of alerts due to factors beyond our control, including but not limited to: network failures, device issues, incorrect contact information, carrier blocking, spam filters, or third-party service outages. You acknowledge that the Service should not be used as a substitute for professional emergency services (911 or equivalent).

5.3 False Alerts

You are responsible for managing your check-in schedules and ensuring timely check-ins to avoid false alerts. While we provide reminder notifications, you acknowledge that false alerts may occur due to user error, device issues, or other circumstances. You agree to promptly notify your emergency contacts if a false alert is sent.

5.4 Messaging (SMS) Terms

ChekPal may send transactional and safety-related messages, including scheduled check-in reminders to users and missed check-in alerts to emergency contacts. Message frequency varies based on the user's check-in schedule and missed check-ins.

Opt-Out and Help: Recipients may opt out of SMS at any time by replying STOP. For help, reply HELP. Message and data rates may apply.

We do not send promotional or marketing text messages unless a recipient has separately and explicitly opted in to receive them.

6. Subscription and Payment

6.1 Subscription Plans

ChekPal offers both free and paid subscription plans. Paid subscriptions may include features such as unlimited check-ins, SMS alerts, additional emergency contacts, and priority support. Subscription details, pricing, and features are described in the App and on our website.

6.2 Billing

By purchasing a subscription, you authorize us (or our third-party payment processor) to charge your payment method on a recurring basis according to your chosen billing cycle (monthly or annual). You are responsible for providing accurate payment information and promptly updating it if changes occur. If payment fails, we may suspend or terminate your subscription.

6.3 Cancellation and Refunds

You may cancel your subscription at any time through the App or your app store account settings. Cancellation takes effect at the end of the current billing period, and you will retain access to paid features until that time. We do not provide refunds for partial subscription periods, except as required by law or at our sole discretion. All sales are final unless otherwise stated.

6.4 Price Changes

We reserve the right to change subscription prices at any time. Price changes will be communicated to you in advance and will take effect at the start of your next billing cycle. Your continued use of the Service after a price change constitutes acceptance of the new price.

7. Intellectual Property

The Service and its original content, features, and functionality are owned by Skillazo Inc. and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Service for personal use in accordance with these Terms. You may not copy, modify, distribute, sell, or lease any part of the Service without our prior written consent.

8. User Content

You retain ownership of any content you create or upload to the Service ("User Content"), including check-in names, descriptions, and notes. By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process your User Content solely to provide and improve the Service. You represent that you have all necessary rights to submit User Content and that it does not violate any third-party rights or applicable laws.

9. Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of information as described in the Privacy Policy.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE. CHEKPAL DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, OR THAT ALERTS WILL BE DELIVERED RELIABLY. THE SERVICE IS NOT A SUBSTITUTE FOR PROFESSIONAL EMERGENCY SERVICES, MEDICAL MONITORING, OR SECURITY SYSTEMS. YOU USE THE SERVICE AT YOUR OWN RISK.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CHEKPAL AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM: (A) YOUR USE OR INABILITY TO USE THE SERVICE; (B) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA; (C) FAILURE TO DELIVER ALERTS; (D) ANY CONDUCT OR CONTENT OF THIRD PARTIES; OR (E) ANY OTHER MATTER RELATING TO THE SERVICE. IN NO EVENT SHALL CHEKPAL'S TOTAL LIABILITY TO YOU EXCEED THE AMOUNT YOU PAID TO CHEKPAL IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

12. Indemnification

You agree to indemnify, defend, and hold harmless ChekPal and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or in connection with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any rights of another party; (d) your User Content; or (e) your sending of alerts to emergency contacts without proper consent.

13. Third-Party Services

The Service relies on third-party services for SMS delivery (Twilio), email delivery (SendGrid), push notifications (Firebase), and other functionality. We are not responsible for the availability, reliability, or performance of these third-party services. Your use of third-party services may be subject to their separate terms and conditions.

14. Modifications to Service and Terms

We reserve the right to modify, suspend, or discontinue the Service (or any part thereof) at any time with or without notice. We may also modify these Terms at any time by posting updated Terms in the App or on our website. The "Last Updated" date will indicate when changes were made. Your continued use of the Service after changes constitutes acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to contact us at privacy@chekpalapp.com to attempt to resolve the dispute informally. If a dispute is not resolved within 30 days, either party may proceed to arbitration.

15.2 Binding Arbitration

Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted by a single arbitrator in the jurisdiction where you reside or another mutually agreed location. The arbitrator's decision shall be final and binding, and judgment may be entered in any court of competent jurisdiction.

15.3 Class Action Waiver

YOU AND CHEKPAL AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU AND CHEKPAL EXPRESSLY WAIVE ANY RIGHT TO FILE A CLASS ACTION OR SEEK RELIEF ON A CLASS BASIS.

15.4 Exceptions

Either party may seek injunctive or other equitable relief in court to protect intellectual property rights or confidential information.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles. Subject to the arbitration provisions above, you agree to submit to the personal jurisdiction of the state and federal courts located in New Castle County, Delaware.

17. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

18. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ChekPal regarding the Service and supersede all prior agreements and understandings, whether written or oral.

19. Waiver

Our failure to enforce any right or provision of these Terms shall not be deemed a waiver of such right or provision.

20. Assignment

You may not assign or transfer these Terms or your rights hereunder without our prior written consent. We may assign these Terms without restriction.
